摘要：在转向市场经济体制过程中，国有企业改革取得一定的成效，但是仍然存在着一些实际问题困扰企业的发展。其原因不仅仅是企业自身的管理问题，更重要的是存在体制性的弊端，成为治理的重点和难点。如果不建立运作有效、监控有力的治理结构，现代企业制度就不可能真正建立起来。因此，我们需要从外部环境和内部机制同时进行分析，建立符合中国国情、有效制衡的公司治理结构，这对于增强国有企业活力，确保国有资产保值增值具有重大意义。

Abstract：In the process towards a market economy system，State-owned enterprise reform achieved certain results. But there are still exist some practical problems of the enterprise development. The reason is not only its own management problems, but more importantly there is institutional malpractice, become the key and difficult points of governance. If not establish a functioning effectively, monitor strong governance structures, the modern enterprise system will not be truly established. Therefore, we need from the external environment and internal mechanisms for analysis, established in line with China's national conditions, and effective corporate governance structure of checks and balances, which enhance the vitality of State-owned enterprises, ensure that the value of State-owned assets of great significance
